Key Principles of the Code of Conduct

1. Shall adhere to the highest standards of honest and ethical conduct.

2. Shall act with utmost care, skill, diligence and integrity.

3. Shall act in utmost good faith and for the benefit of the company.

4. Shall make full and fair, timely and meaningful disclosures required by the government and regulatory agencies.

5. Shall maintain the highest level of confidentiality and fair dealing within and outside the company.

6. Shall attend Board Meetings regularly.

7. Shall be familiar with the objectives and policies of the company and as laid down by the Government and the various laws and legislation’s as applicable to the company.

8. Shall abide with the laws, rules and regulations of the company and of the Government and other regulatory agencies, as applicable.

9. Shall ensure confidentiality of the information and documents of the company.

10. Shall not receive loans or guarantees or obligations as a result of the position acquired in the company.

11. Shall not commit any offence involving moral turpitude.

12. Shall not do anything which interferes with or is subversive of the maintenance of discipline, good conduct and integrity of the company as a whole.
